MakerWorld Exclusive Model Program Agreement

1. Effectiveness and Scope of Application

1.1 Introduction and Acceptance

To better motivate Creators (defined below) to upload high-quality and Exclusive Models and related content to MakerWorld for users to download and print, MakerWorld ("we," "us," "our," or "MakerWorld") has launched the "Exclusive Model Program" and the "14-Day Exclusive Launch Program" (the "Program(s)" ). The Programs will be open to all Creators starting October 12, 2024. Creators who successfully join a Program will enjoy access to Exclusive Points and other benefits as further described below.

Users who upload a model and participate in a Program ("Creators") are urged to thoroughly read and understand this Agreement and the conditions and rules applicable to the Exclusive Model Program before applying. By applying to join a Program, the Creator hereby agrees and consents to be bound by all the provisions of this Exclusive Model Program Agreement ("Agreement"), as well as all the terms and conditions of the Terms of Use of MakerWorld and the Privacy Policy.

1.2 Relationship to Terms of Use

This Agreement constitutes an integral part of the Terms of Use of MakerWorld and has equal legal effect. The Creator must adhere to the Terms of Use of MakerWorld while utilizing our services when participating in the Program. In instances where this Agreement does not specify or is unclear, the provisions of the Terms of Use of MakerWorld shall prevail. Should any provision of this Agreement conflict with the Terms of Use of MakerWorld, the provisions of this Agreement shall take precedence.

1.3 Parts to the Agreement

This Agreement includes the main body of the agreement, its appendices, any written Program notices, rules or disclosures that have been or may in the future be issued by MakerWorld concerning the Programs. All components described in this section 1.3 are inseparable components of the Agreement and have the same legal effect as the main body of the Agreement.

1.4 Changes to the Programs

MakerWorld reserves the right at any time to change, establish, or modify (a) the Exclusive Model Program, (b) the 14-Day Exclusive Launch Program, or (c) this Agreement or any rules or other portions of it. Changes to this Agreement may be made without advance notice to you. Unless mandatory provisions of laws or regulations stipulate otherwise, the amended Agreement shall automatically take effect once published, and will at that time become part of this Agreement. The Creator’s continued participation in a Program after such modifications take effect shall be regarded as their acceptance of the amended Agreement.

1.5 Termination of the Programs

MakerWorld reserves the right at any time to suspend or terminate without further obligation to the Creator: (a) the Exclusive Model Program, (b) the 14-Day Exclusive Launch Program, or (c) this Agreement. Upon termination of a Program or this Agreement, the Creator will have 30 calendar days (or such other period as specified by MakerWorld at the time of termination, "Grace Period") to (i) continue earning Exclusive Points and other benefits, and (ii) use or cash out their Exclusive Points. Following the Grace Period, all Exclusive Points in the Creator’s account will be cancelled, regardless of the amount of time the Creator had participated in the Program.

2. Definitions and Explanations

2.1 Boost

When a User has taken an action to "boost" your Model in the MakerWorld Platform.

2.2 Exclusive Program Models

A model uploaded and published exclusively on MakerWorld by a Creator for a specified time-period under a Program. Specifically:

2.2.1 14-Day Exclusive Model: this Model type must meet the condition of being a first-time release, having never been previously released on any other 3D model platform or channel, and remaining exclusively published on MakerWorld for the term of the Program to gain 14-Day Exclusive Model status.

2.2.2 Exclusive Model: This Model type must meet the condition of being exclusively published on MakerWorld for the term of the Program. If previously published on another 3D model channel or platform, the Model must be removed from the other 3D model channel or platforms prior to joining the Program and seeking Exclusive Model status.

Exclusive Program Models may not be uploaded, shared, or made available on any other 3D model platform or channel for the duration of its participation in a Program.

2.3 Exclusive Model Program

Under this Program, a Creator publishes their Model exclusively on MakerWorld. To join this program, the Model must be made exclusively available on MakerWorld and must be removed from any other platform before being posted, published, or shared on MakerWorld. For more information on the requirements and benefits of this program, please review section 5.

2.4 14-Day Exclusive Launch Program

Under this Program a Creator will publish their Model for the first time on MakerWorld, and the Model must have never been uploaded, posted, shared, or made available on any other 3D model platform or channel. During the 14-day launch period, the 14-Day Exclusive Model may not be uploaded, posted, shared, or made available on any other 3D printing platform or channel. For more information on the requirements and benefits of this Program, please review section 6.

2.5 Exclusive Points

Exclusive Points are reward points available and awarded solely to participants who make available an Exclusive Model or a 14-Day Exclusive Model as part of a Program. Upon satisfying the Program conditions and following platform review, you may be eligible for Exclusive Points rewards. For specific information regarding how to earn or use Exclusive Points, please refer to sections 4 and 7 of How to Earn Exclusive Points.

2.6 MakerWorld Platform(s)

2.6.1 MakerWorld Global. For users of the MakerWorld Global site, known as makerworld.com, the operator is MakerWorld Singapore Pte. Ltd.

2.6.1 MakerWorld China. For users of the MakerWorld China site, known as makerworld.com.cn, the operator is Shenzhen Chuangke Technology Co., Ltd.

2.7 Model

A unique digital 3D model file created and posted by a Creator.

2.8 Print Profile

A description of the printing time, material, scaling parameters, and other specifications or descriptions of the printing process for a Model.

2.9 Regular Model

A Model uploaded and shared to the MakerWorld Platform that does not participate in a Program.

2.10 Regular Points

Regular points refer to the general points awarded on MakerWorld outside of the Programs, Creators may earn Regular Points:

2.10.1 by executing various MakerReward Tasks for which Regular Points are offered; or

2.10.2 by receiving Boost Tokens from users on the MakerWorld Platform.

Regular Points may typically be redeemed for specific goods, services, or discounts within the MakerWorld Platform. However, these points have no cash, monetary, or other inherent value and cannot be redeemed, in whole or in part, for cash rewards. For specific information regarding regular points, please refer to section 7 of the Terms of Use of MakerWorld.

2.11 Standard Digital File License

Standard Digital File License means the Standard Digital File License as described on the MakerWorld license page.

2.12 MakerWorld Exclusive License

MakerWorld Exclusive License means the MakerWorld Exclusive License as specifically described on the MakerWorld license page.

3. Eligibility Requirements & Licenses

To participate in a Program, a Creator must meet the eligibility requirements described in this section 3 ("Eligibility Requirements"), apply to the Program, and remain qualified for the Program with respect to each Exclusive Program Model. MakerWorld reserves the right to admit Creators (or revoke admission) to a Program at MakerWorld’s sole discretion. Eligibility Requirements are subject to change as described in the above section 1.4.

3.1 Cumulative Prints Requirements

The Programs are open to MakerWorld Creators whose total accumulated Model prints have reached at least 100.

3.2 Intellectual Property Requirements

The Exclusive Program Models must be the Creator's original work, or the Creator must have obtained all rights, licenses (including exclusivity rights), permissions, consents, and releases from the lawful rights holder that are necessary to participate in the Exclusive Model Program or 14-Day Exclusive Launch Program.

3.3 Exclusivity Requirements

If an Exclusive Model has been previously uploaded or published on any other platforms, it must be removed from any such platform before it can be uploaded to the MakerWorld Platform or become eligible for Exclusive Model Program Model status. A model is eligible for 14-Day Exclusive Model status, only if it is a first-time release to the public.

In order to participate in a Program, all Exclusive Program Models must be exclusively published on the MakerWorld Platform by the Creator for the time-period outlined in section 5 or 6 below, depending on the Program.

3.4 License Requirements

3.4.1 By uploading and publishing an Exclusive Program Model to MakerWorld’s Platform, the Creator hereby grants to MakerWorld:

Model License: An exclusive, worldwide, royalty-free, transferable (e.g. as part of a corporate reorganization), sub-licensable (e.g. to our hosting providers), limited license to process and host your Exclusive Program Model, display it on the MakerWorld Platform, and make it available to Users via the MakerWorld Platform under the applicable license type selected by the Creator.

Model Branding License: A non-exclusive, worldwide, royalty-free, limited license to any descriptions, photos, drawings, videos, renderings, or other branding or marketing content relating to the any Model or Exclusive Program Model (collectively "Model Branding") with the ability to use and sub-license the Model Branding for the reproduction, distribution, promotion, and marketing of the Exclusive Program Model through the MakerWorld Platform, official MakerWorld media and social media accounts, and all other channels, as well as for the purpose of operating and promoting the services of MakerWorld.

The granted license under this section is intended for protecting the integrity of the Exclusive Program Model and for operational, promotional, and other related purposes on the MakerWorld Platform, and its affiliate, Bambu Lab, including (without limitation) their official social media promotion on platforms such as Reddit, Twitter or Youtube.

3.4.2 User License for Exclusive Program Models

Exclusive Program Models are provided by the Creator vis-à-vis users of MakerWorld’s Platforms under the specific license type selected by the Creator, which may be either: (a) the Standard Digital File License; or (b) the MakerWorld Exclusive License.

The Standard Digital File License ensures that the Exclusive Model and the 14-Day Exclusive Model are protected from unauthorized use by third parties, thereby maximizing the protection of the Creator's intellectual property rights. Creators participating in this program must select the Standard Digital File License as the licensing type for their Exclusive Model and the 14-Day Exclusive Model, and users can access and use Exclusive Models per the Standard Digital File License granted by the creator.

(a) Standard Digital File License

The Standard Digital File License ensures that the Exclusive Model and the 14-Day Exclusive Model are protected from unauthorized use by third parties, thereby maximizing the protection of the Creator's intellectual property rights. Creators participating in this program must select the Standard Digital File License as the licensing type for their Exclusive Model and the 14-Day Exclusive Model, and users can access and use Exclusive Models per the Standard Digital File License granted by the creator.

The publication of an Exclusive Model through the MakerWorld Platform and the selection of the Standard Digital File License represents a proposal to enter into a license agreement under the conditions of the Standard Digital File License between the creator and other users. The content of the Standard Digital File License is as follows:

Users shall not share, sub-license, sell, rent, host, transfer, or distribute in any way the digital or 3D printed versions of this object, nor any other derivative work of this object in its digital or physical format (including - but not limited to - remixes of this object, and hosting on other digital platforms). The objects may not be used without permission in any way whatsoever in which the users charge money, or collect fees. The creator acknowledges that the Standard Digital File Licenses are irrevocably granted to the other users.

(b) MakerWorld Exclusive License

If the Creator selects the MakerWorld Exclusive License:

Users are permitted to create non-commercial derivative works based on the Exclusive Program Model provided that all such derivative works are published, displayed, shared, and distributed exclusively on the MakerWorld Platform.

Users must provide appropriate attribution to the original Creator whenever publishing such derivative works on the MakerWorld Platform.

Users are prohibited from sharing, uploading, hosting, transferring, distributing, posting, or otherwise making available the Model or any derivative works on any other digital platform, marketplace, or distribution channel outside MakerWorld.

Users are strictly prohibited from any commercial use of the Model and derivative works, including selling, renting, sublicensing, or using the Model or derivative works in any context where the User receives money or other economic benefit.

The Creator acknowledges that selecting the MakerWorld Exclusive License explicitly authorizes other Users to create derivative works of the Exclusive Program Model only within the MakerWorld Platform, which may increase exposure, encourage community creativity, and enhance the visibility and impact of the exclusive Model while preserving its exclusive status on MakerWorld.

MakerWorld will use commercially reasonable efforts to protect the Creator’s rights and prevent unauthorized off-platform use or distribution of the Model or derivative works; however, MakerWorld cannot guarantee enforcement on external platforms, services, or jurisdictions.

3.4.3 Except for the licenses granted under this Agreement, the Creator retains all right, title, and interest in the Model, and the parties retain all intellectual property and other rights it may have under applicable law. Any use of trademarks, service marks, or other marks included Model Branding inures to the benefit of the owner of such marks.

For clarity, ownership of the Model and any derivative works is not transferred under either the Standard Digital File License or the MakerWorld Exclusive License, and all rights not expressly granted are reserved by the Creator.

3.5 Model Quality and Originality

The Creator's Model must exhibit high quality and originality and meet our Exclusive Model Guidelines ("Model Guidelines"). Please review the Model Guidelines carefully to help you in designing models that meet our requirements and expectations for the Exclusive Model or the 14-Day Exclusive Model.

3.6 Participation Age Requirement

Any Creator participating in a Program is required to be over the minimum age required by the laws of their country of residence to form a binding contract (the age of majority) and at least 18 years old.

3.7 Lawfulness

All Models must conform to our Community Guidelines, and must comply with all applicable laws, rules, and regulations. Your Model and participation in a Program must not cause MakerWorld to violate any laws, including without limitation any export control requirements.

4. How to Earn Exclusive Points

4.1 Ways to Earn Exclusive Points

Creators who join a Program will have the opportunity to earn Exclusive Points. Models may also receive Boosts token for each Exclusive Model or 14-Day Exclusive Model. Creators can find the available point tasks and amount of Exclusive Points that may be gained in connection with each Program at: https://makerworld.com/points. The amount of points that the Creator may earn for an action in connection with a Program may change from time to time in MakerWorld’s sole discretion.

The ways for an Creator to earn points for an Exclusive Model, a 14-Day Exclusive Model, and the print profiles (uploaded by the Creator) are the same as those for Creators of Regular Models. Examples of ways to earn Exclusive Points are as follows [for current methods to earn Points and Point values, please click here]:

4.1.1 Completion of Point Tasks

(a) Model related tasks

  • Upload a Model
  • High-Quality Model Reward

(b) Print Profile related tasks

  • Upload the first print profile
  • Upload a Print Profile
  • High-Quality Print Profile Reward

4.1.2 Boosts Token from Other Users

Boosts Token (given by other users) to an Exclusive Program Model will earn Exclusive Points at a higher rate than regular models.

4.2 Additional Rewards

Creators will receive an additional percentage increase in their points and Boosts value, and this increased portion will also constitute Exclusive Points. The Creator may refer to section 5.3 and section 6.3 respectively to review the respective point increments under the "Exclusive Model Program" and the "14-Day Exclusive Launch Program".

4.3 Reward from MakerWorld China

MakerWorld China and MakerWorld Global have simultaneously launched the Programs. If a Creator's MakerWorld Global account is set to enable eligible models and print profiles to be synchronized to MakerWorld China, and the Creator's Model has joined either the Exclusive Model Program or the 14-Day Exclusive Launch Program on MakerWorld Global, the eligible Exclusive Program Models and Print Profiles will be synchronized to MakerWorld China and automatically enrolled in the corresponding program on MakerWorld China.

MakerWorld China and MakerWorld Global have the same methods for earning Exclusive Points and Boosts token. Any synchronized Exclusive Program Models will be subject to MakerWorld China's Exclusive Model Program Agreement and will be eligible to earn Exclusive Points and received Boosts token, as provided under the terms of MakerWorld China's Exclusive Model Program Agreement.

Any Exclusive Points and Boosts token earned by a Creator through synchronization between MakerWorld Global and MakerWorld China will be automatically be credited to the Creator’s account on MakerWorld Global and may be used in accordance with the terms set forth in section 7 of this agreement.

4.4 Viewing Exclusive Points

In order to facilitate real-time tracking of your Exclusive Point earnings, please visit your MakerReward Page. All points earned through an Exclusive Model’s participation in a Program are labeled as Exclusive Points. All points earned by a Regular Model are labeled as Regular Points.

5. Exclusive Model Program

5.1 Applicable Models: Any Exclusive Model

The Model must be an Exclusive Model (see section 2.2.2) to be eligible for the Exclusive Model Program.

5.2 Definition

Under this Program, a model becomes an MakerWorld Exclusive Model if (a) it is made exclusively available on MakerWorld, (b) it is not uploaded to other online channels or platforms during the period of participation in this Program, and (c) it is removed from any other platform before being posted, published, or shared on MakerWorld.

5.3 Exclusive Points and Benefits Creators Can Obtain

Creators who join the Exclusive Model Program can earn Exclusive Points and benefits as follows:

5.3.1 During the period of participation in this Program, an Exclusive Model and its Print Profile (only available for Print Profile related tasks uploaded by the Creators, excluding those uploaded by other Creators) receive 25% more points than a Regular Model and its Print Profile.

5.3.2 During the period of participation in this Program, an Exclusive Model receives 25% more value for each Boost as compared to a Boost awarded to a Regular Model given, and such Boosts will be automatically converted into Exclusive Points.

5.3.3 Exclusive Points (including Boosts) obtained by an Exclusive Model will have the option to be redeemed for cash rewards, with the specific rules for usage outlined in Article 7 of this agreement.

5.3.4 MakerWorld Exposure

(a)Opportunity to receive exposure on designated areas of the MakerWorld Platforms,including MakerWorld Global  and MakerWorld China.

(b)Opportunity to receive promotional appearances on MakerWorld Official Social Media Accounts, EDM, APP Notifications, etc.

5.3.5 Creator Support

Certain Creators may be entitled to receive Creator Rights Support services from MakerWorld ("Creator Support"). For example, if a third party 3D model platform is found to be distributing your Exclusive Program Model, MakerWorld may agree to send informal notices on your behalf requesting that a third party 3D model platform cease the unauthorized use of your Model and infringement of your IP rights. The conditions, extent, and availability of Creator Rights Support are determined at MakerWorld's sole discretion.

For more information on MakerWorld’s Copyright Support program, please review our Creator Support Terms. Under no circumstance will MakerWorld provide the Creator with legal advice in connection any Creator Support services. The Creator understands that they are solely responsible for establishing and enforcing their intellectual property and other legal rights in their Model. All Creator Support services are provided as a convenience to the Creator and our community.

5.4 Lock-in Period

Exclusive Models must be made available on an exclusive basis on MakerWorld for a period of no less than 90 days ("Lock-in Period"). During this Lock-in Period, Creators are not permitted to exit the Exclusive Model Program.

Upon the expiration of the Lock-in Period, Creators may:

5.4.1 Maintain participation in the Program. If a Creator takes no further action after 90 days, the Exclusive Model will maintain its participation in the Exclusive Model Program and continue to earn Exclusive Points and other rewards.

5.4.2 Choose to exit the Exclusive Model Program. If a Creator decides to exit the Program after 90 days, they should formally choose to exit (e.g., by making a Model non-exclusive); otherwise, the Exclusive Model will remain in this Program as described in 5.4.1. All accrued Exclusive Points will remain unaffected. However, starting from the exit date, the Model will no longer receive Exclusive Points or other rewards associated with the Program.

If the Creator chooses to rejoin the Exclusive Model Program after exiting, it will be considered as re-entering this Program and must comply with the terms of this agreement.

5.5 Revocation of Exclusive Points

If any of the following conditions occur, all Exclusive Points obtained by a Creator on MakerWorld for the corresponding Exclusive Model will be revoked, and the relevant Exclusive Model will automatically be removed from the Exclusive Model Program:

5.5.1 Non-Exclusive. If an Exclusive Model is found to be directly or indirectly published on other platforms or websites during the period of participation in this Program, the Model will be considered "Non-Exclusive."

In the case of repeated violations under this section, MakerWorld will impose the following penalties depending on the severity of the violations:

(a) Point penalties;

(b) The Creator's account may be banned from applying to any Program for 30 calendar days;

(c) The Creator's account may be permanently banned from applying to any Program.

5.5.2 Non-Originality. If an Exclusive Model is recognized as a copy, clone, imitation, reproduction, duplicate, or otherwise non-original form by another designer or creator as specifically defined in section 8.2.1.

5.5.3 Violation of Laws, Regulations, Exclusive Model Guidelines or Community Guidelines. An Exclusive Model may be removed for reasons related to violations of laws, regulations, Exclusive Model Guidelines or Community Guidelines.

5.5.4 Infringement and/or Valid Reports. An Exclusive Model may be removed due to violations of a third party’s legitimate rights and interests and/or as a result of valid user or other third-party reports.

5.5.5 Violation against the requirements and rules of Terms of Use of MakerWorld.

For violations under sections 5.5.2 to 5.5.5, MakerWorld may revoke all points earned by the Creator through the offending Exclusive Model, including both Exclusive Points and Regular Points (if any), and the Exclusive Model will be removed from MakerWorld. In the case of repeated violations, MakerWorld may take the following actions depending on the specific violation:

(a) Point penalties;

(b) Restriction of certain account functions, such as:

The Creator may be prohibited from uploading new models to MakerWorld;

The Creator's account may be banned from applying to any Program for 30 calendar days;

The Creator's account may be permanently banned from applying for any Program.

(c) Permanent closure of the account. In such cases:

All Models under the account will be removed from MakerWorld;

All points under the account will be revoked;

The account will no longer be able to log in, upload Models, or engage in any activities.

6. 14-Day Exclusive Launch Program

6.1 Applicable Models

Only 14-Day Exclusive Models that are First Release on a MakerWorld Platform.

6.2 Definition

Under this program, a Model may become a 14-Day Exclusive Model if the Model (a) is a first time release, (b) has never been previously released on any other 3D model platform or channel, and (c) remains exclusively published on a MakerWorld Platform for the Premier Lock-in Period (see section 6.4).

Please note: Any model that has been previously uploaded, shared, or published on 3D model platform or channel may not participate in the 14-day Exclusive Launch Program. Such Model is still eligible to participate in the Exclusive Model Program (see section 5).

6.3 Exclusive Points and Benefits the Creator Can Obtain

The 14-day Exclusive Model which joins the 14-Day Exclusive Launch Program may earn Exclusive Points and benefits during the Premier Lock-in Period as follows:

6.3.1 During the Premier Lock-in Period, a 14-day Exclusive Model and its Print Profile (only available for Print Profile related tasks uploaded by the Creators, excluding those uploaded by other Creators) receive 10% more points than a Regular Model and its Print Profile.

6.3.2 During the Premier Lock-in Period, a 14-day Exclusive Model receives 10% more value for each Boost as compared to a Boost awarded to a Regular Model, and such Boosts will be automatically converted into Exclusive Points.

6.3.3 Points (including Boosts) obtained by 14-day Exclusive Model during the Premier Lock-in Period will have the option to be redeemed for cash rewards, subject to the specific terms and conditions outlined in section 7 of this agreement.

6.3.4 MakerWorld Exposure. Opportunity to receive exposure to designated areas on MakerWorld Platforms,including MakerWorld China and MakerWorld Global during the Premier Lock-in Period.

6.3.4 Social Media Exposure. Opportunity to receive in-platform traffic support from MakerWorld (including its affiliates) and official social media promotion on platforms such as Reddit and Twitter during the Premier Lock-in Period.

6.4 Premier Lock-in Period

6.4.1 Models participating in the 14-day Exclusive Launch Program must be made available on an exclusive basis on MakerWorld for a period of 14 days ("Premier Lock-in Period"). During the Premier Lock-in Period, Creators cannot exit the 14-day Exclusive Launch Program and the 14-Day Exclusive Model may not be uploaded, shared, or made available on any other 3D model channel or platform.

6.4.2 Upon expiration of the Premier Lock-in period:

(a) The 14-Day Exclusive Model will automatically exit the 14-day Exclusive Launch Program and will cease to receive the exclusive incentives of the 14-day Exclusive Launch Program starting on the 15th day. If there are no conditions regarding the revocation of Exclusive Points as specified in section 6.5 or other provisions of this Agreement, the accrued Exclusive Points shall remain unaffected.

(b) After the Premier Lock-in period has ended, Creators may opt to join the Exclusive Model Program as detailed in section 5 of this Agreement. Upon meeting the conditions of the Exclusive Model Program, Creators will be entitled to Exclusive Point rewards according to the benefits described in section 5.3 of the Exclusive Model Program.

6.5 Revocation of Exclusive Points

If any of the following situations occur, all Exclusive Points obtained by a Creator for the corresponding 14-Day Exclusive Model will be revoked and the relevant 14-day Exclusive Model will automatically be removed from the 14-day Exclusive Launch Program:

6.5.1 Failed Premiere. if it is discovered that the 14-day Exclusive Model was not premiered on MakerWorld, or was released on other platforms or websites during the Premier Lock-in Period, it will be considered as "Failed Premiere.

6.5.2 Non-Exclusive. If a 14-day Exclusive Model is found to be directly or indirectly published on other platforms or websites during the Lock-in Period , the Model will be considered "non-Exclusive".

In the case of repeated violations under section 6.5.1 and section 6.5.2, MakerWorld will impose the following penalties depending on the severity of the violations:

(a) Point penalties;

(b) The Creator's account may be banned from applying to any Program for 30 calendar days;

(c) The Creator's account may be permanently banned from applying to any Program.

6.5.3 Non-Originality. If a 14-day Exclusive Model is recognized as a copy, clone, imitation, reproduction, duplicate, or otherwise non-original form by another designer or creator as specifically defined in section 8.2.1.

6.5.4 Violation of Laws, Regulations, Exclusive Model Guidelines or Community Guidelines. A 14-day Exclusive Model may be removed for reasons related to violations of laws, regulations, Exclusive Model Guidelines or Community Guidelines.

6.5.5 Infringement and/or Valid Reports. The a 14-day Exclusive Model may be removed due to violations of a third party’s legitimate rights and interests and/or as a result of valid user or other third-party reports.

6.5.6 Violation against the requirements and rules of Terms of Use of MakerWorld.

For violations under sections 6.5.3 to 6.5.6, MakerWorld may revoke all points earned by the Creator through the offending 14-day Exclusive Model, including both Exclusive Points and Regular Points (if any), and the 14-day Exclusive Model may be removed from MakerWorld. In the case of repeated violations, MakerWorld may take the following actions based on the specific violations:

(a) Point penalties

(b) Restriction of certain account functions

  • The Creator may be prohibited from uploading new Models to MakerWorld.
  • The Creator's account may be suspended from applying for any Program for 30 days.
  • The Creator's account may be permanently banned from applying for any Program.

(c) Permanent closure of the account. In such cases

  • All Models under the account will be removed from MakerWorld.
  • All points under the account will be revoked.
  • The account will no longer be able to log in, upload Models, or engage in any activities.

7. How to Use Exclusive Points

7.1 Standard Use of Exclusive Points

7.1.1 General

Creators may redeem Exclusive Points for cash rewards or items in the points store. Upon redemption, the corresponding Exclusive Points will be deducted from the Creator’s account.

Unless otherwise specified in these rules, all redemptions are final and non-refundable, and Exclusive Points cannot be returned. All cash rewards or redeemed items are subject to availability and to certain terms and conditions imposed by MakerWorld or relevant third parties, which take effect immediately upon redemption. These terms and conditions are incorporated by reference into this agreement.

7.1.2 Exclusive Points Transfer

Exclusive Points in a Creator's account do not constitute property of the Creator, have no cash value (unless and untill a request to exchange for cash rewards has been completed and authorized according to section 7.2) , and cannot be sold, bartered, descended, pledged, collateralized, or transferred by Creator, by operation of law or otherwise.

Only Creators who participate in the Exclusive Model Program or the 14-Day Exclusive Launch Program may redeem Exclusive Points from their account. Unless expressly stated otherwise herein, Creators may not transfer, sell, exchange, or distribute any items redeemed with Exclusive Points earned through the Exclusive Model Program or the 14-Day Exclusive Launch Program. If a Creator breaches this Agreement by transferring, selling, exchanging, distributing, or using any items redeemed with Exclusive Points earned through the Exclusive Model Program or the 14-Day Exclusive Launch Program, or uses any such cash rewards or items for improper purposes (as determined solely by MakerWorld at its absolute discretion), MakerWorld may, at its sole discretion, cancel, void, refuse to redeem, and/or confiscate the corresponding Exclusive Points, terminate the Creator’s account, and/or exercise any and all other rights and remedies available under law or equity.

Unless otherwise agreed by MakerWorld in writing, Exclusive Points cannot be replaced or reissued, nor can points be returned to the Creator’s account.

7.1.3 Exclusive Points Removal

In addition to the revocation procedures outlined in sections 5.5 and 6.5 above, in the event that any Exclusive Points is erroneously posted to a Creator’s account, MakerWorld may have them removed from the Creator’s account.

7.1.4 Reward Forfeiture Upon Account Closure

If the Creator's MakerWorld account is self-deleted or deactivated by MakerWorld, and if the Creator fails to properly redeem their Exclusive Points in accordance with this Agreement prior to closing their account, or if at the time of closing, the Creator has less than the Minimum Redemption Amount (see section 7.2.1) in their account and the Creator has not chosen to redeem items from the points store, any rights the Creator has to the Exclusive Points in the Creator's account will terminate and the Creator will no longer be eligible to receive a distribution of such Exclusive Points.

7.2 Cash Rewards Redemptions

7.2.1 Minimum Redemption Amount

Each Exclusive Point is equivalent to 0.066 USD, and the then-current equivalent value in other supported currencies.

For designers participating in the Exclusive Model Program or the 14-Day Exclusive Launch Program, once the Creator has accumulated at least One Hundred Dollars (US $100.00) or an equivalent amount in other currencies in Rewards on the Creator's Points Reward page (the "Minimum Redemption Amount"), the Creator may elect to request MakerWorld to redeem the Exclusvie Points for cash rewards via one or more of the available third-party payment service providers as displayed on MakerWorld("Cash Reward").

Once the withdrawal threshold is met, and following a request by the Creator, MakerWorld will initiate a request to disburse Cash Rewards to the Creator using MakerWorld’s Cash Rewards payout service provider. Any fees or commissions charged by the service provider will be borne by the Creator.

The Creator may not redeem any Exclusive Points for any Cash Rewards prior to reaching the Minimum Redemption Amount, or if subsequently the Creator’s Exclusive Points fall below the Minimum Redemption Amount (including as a result of currency valuation), for as long as the Exclusive Points remain below the Minimum Redemption Amount.

Withdrawable Exclusive Points cannot exceed the current total points balance.

Once the Creator initiates an exchange process, MakerWorld will have a 14-day grace period to review the Creator's points history for potential violations. Cash rewards requests will be made only once any review process is completed.

MakerWorld, based on local regulations, and operational conditions, may independently determine limits on the amount of Exclusive Points that can be exchanged in any given period or for any particular transaction. Additionally, MakerWorld will provide a 14-day notice before making any changes to the Minimum Redemption Amount.

7.2.2 MakerWorld Not Responsible for Tax

Creators are fully responsible for all tax obligations related to the cash rewards redeemed through MakerWorld’s Exclusive Points system, including tax filing and payment. MakerWorld assumes no responsibility in this regard and is not obligated to compensate or reimburse any additional fees or penalties incurred by Creators due to tax-related matters (if applicable).

Additionally, MakerWorld will not be liable for any responsibilities related to the Creator’s legal business and tax obligations, such as tax reporting, payments, withholdings, fines, interest, or penalties, either to the Creator or any third party.

7.2.3 Conditions of Cash Rewards

In order to comply with applicable law, we may perform due diligence (e.g. anti-fraud or anti-money laundering) checks on you as a condition of fulfilling a request for Cash Reward. We may deny a Cash Reward where we believe we are prohibited from providing you with a Cash Reward or any violation of law. If requested (whether by MakerWorld or its service provider) you must provide complete, accurate, and up to date information at all times, including any information required to comply with the law. You will promptly provide any additional information, at the latest within two (2) business days of any request. You acknowledge that we may not authorize your Cash Reward until we have received all the information we require, and requests may be terminated if information is not provided in a timely manner. We will not be responsible for any loss arising out of your failure or delay in providing us with the information we require. You agree that MakerWorld may make, directly or using a third party service provider, any inquiries we believe are necessary to verify information you provide, including checking commercial databases or credit reports, before we request or permit the issuance of Cash Rewards. We may keep records of our due diligence checks in accordance with applicable law.

7.2.4 Currencies and Treasury Transactions

The supported currencies, and the value of payments issued in other currencies will be based on the available currencies and exchange rates offered by MakerWorld’s payments service provider. MakerWorld will use reasonable efforts request conversions and payment of Cash Reward in your desired currency, but makes no representation or warranty regarding available currencies or exchange rates. Cash Reward values are referenced and converted from the value of the Cash Reward in USD, and the actual exchange rate applied to your Cash Reward will be determined exclusively based on the rate offered to MakerWorld by MakerWorld’s financial services provider when the request to redeem the Cash Reward fulfilled. Exchange rates are final and may not be contested for any reason.

7.3 Redemption of Items in the Points Store

7.3.1 Priority of Point Redemption

Exclusive Points, like Regular Points, may be redeemed for gift cards or merchandise in the points store. If a Creator chooses to use Exclusive Points for redemption, the value of Exclusive Points will be equal to that of Regular Points. For further rules regarding the use of points, please refer to section 7 of the Terms of Use of MakerWorld.

When both Exclusive Points and Regular Points are available in the Creator's account, MakerWorld will deduct Regular Points first when redeeming items in the points store. If Regular Points are insufficient, the remaining balance will be deducted from Exclusive Points. In such cases, MakerWorld will notify the Creator in advance and obtain consent before deducting any Exclusive Points. If the Creator does not consent to the use of Exclusive Points, MakerWorld reserves the right to cancel the redemption request.

7.3.2 Compliance with Terms and Third-Party Restrictions

The redemption Exclusive Points for gift cards or merchandise in the points store must comply with the relevant terms and conditions, and/or any usage restrictions imposed by applicable third parties.

7.3.3 Discontinuation or Withdrawal of Products

If a product the Creator selects for redemption is discontinued or withdrawn, MakerWorld may provide a replacement product of equal value (if available) or cancel the order and refund the corresponding Exclusive Points. The Creator may choose to accept the replacement product or cancel the order, in which case MakerWorld will refund the applicable Exclusive Points.

7.3.4 Force Majeure and MakerWorld's Liability

MakerWorld shall not be liable for any delay or failure to perform the redemption due to force majeure, including but not limited to fire, explosion, natural disasters, strikes, labor disputes, legal restrictions, governmental orders, or transportation disruptions.

8. Commitments and Guarantees

8.1. Both parties declare, promise, and guarantee to each other as follows

8.1.1 It is an independent legal person established and validly existing in accordance with the laws of its registered place, or a natural person with full capacity for civil conduct, and has the complete legal qualification and unimpaired capacity for rights to sign this agreement and fulfill all the responsibilities and obligations stipulated in this agreement.

8.1.2 The signing of this Agreement and the performance of their respective obligations under this Agreement will not violate any laws, regulations, articles of association, agreements, judgments, orders, or rulings that are binding on them, nor will they infringe on the legitimate rights and interests of any third party.

8.1.3 The execution and performance of this Agreement are business conduct, and all warranties and commitments made under this Agreement are continuous, valid, irrevocable and enforceable.

8.2 The Creator further promises and guarantees the following

8.2.1 Exclusivel Program Models are the original design and creation of the Creator and will be exclusively displayed on the MakerWorld platform. A Model will be considered "non-original" if it meets any of the following criteria, as determined by MakerWorld in its reasonable discretion:

(a)Coies, plagiarizes, or is a re-upload of another Creator’s Model or otherwise infringes or misappropriates any intellectual property, privacy, or other rights of any third party throughout the world;

(b)Model is a remix or other derivative work of existing designs or models with only limited changes made;

(c)Model was generated in whole or in part using artificial intelligence or a non-human author or creator;

(d)Model violates applicable laws and regulations such as copyright law, trademark law, design law, patent law, or other third party rights and /or Community Guidelines, relevant policies, public order and good morals, or societal ethics; or

Spamming low quality or repetitive models will result in ineligibility for the Exclusive Model Program or the 14-Day Exclusive Launch Program.

8.2.2 Any Exclusive Program Model does not violate the provisions of laws, regulations, and normative documents, does not infringe on the legitimate rights and interests of any third party, such as intellectual property rights, reputation rights, portrait rights, etc., and does not violate social morality and public order.

8.2.3 The Creator has all necessary right, title, and interest in and to the Exclusive Modal to grant the rights and licenses under this Agreement, and the Creator has obtained sufficient and effective authorization from the qualified rights holder, and have the right to authorize MakerWorld and its affiliates to use the Model in accordance with the provisions of this agreement.

8.2.4 Should MakerWorld have reasonable grounds to suspect that the Creator’s Exclusive Model and/or the 14-day Exclusive Model is not original or involves unauthorized or illegal or unauthorized use of another's work protected by intellectual property rights, potentially violating MakerWorld policies or any other provision of this Agreement, the Creator shall provide, upon MakerWorld’s request documentation proving the originality of the Model and the Creator’s identity ("Proof").

8.2.5 If the Creator refuses to provide Proof, the Creator may lose the eligibility to participate in any Programs, the offending Exclusive Program Model may be removed, Exclusive Points may be withdrawn, and/or other consequences stipulated in section 11 of this agreement may ensue.

8.2.6 Ensure that MakerWorld and its affiliates may display, disseminate, promote, recommend, and search any Exclusive Program Model in accordance with the provisions of this Agreement without infringing on the legitimate rights and interests of any third party (including the rights and interests of third parties such as copyrights, trademarks, patents, and portrait rights). MakerWorld and its affiliates will not bear legal responsibility or suffer adverse consequences to any third party, nor will they violate laws and regulations. If any disputes or controversies arise due to the promotion and/or use of your Exclusive Program Mode by MakerWorld and its affiliates, MakerWorld partners, or related users, or if MakerWorld and its affiliates, MakerWorld partners, or related users are punished by relevant government departments, the Creator shall be responsible for resolving and assuming all legal responsibilities, and MakerWorld and its affiliates, MakerWorld partners, and related users shall be exempt from liability. MakerWorld has the right to suspend or terminate this agreement. If any losses are caused to MakerWorld and its affiliates, MakerWorld partners, or related users, the Creator shall be responsible for full compensation. If the Creator passively handles or fails to resolve the aforementioned disputes or controversies, MakerWorld has the right to take measures related to section 11 of this Agreement.

8.2.7 Guarantee not to harm the legitimate rights and interests of MakerWorld and its affiliates, MakerWorld partners, and related users.

9. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, MAKERWORLD AND ITS AFFILIATES, EMPLOYEES, DIRECTORS, OFFICERS, SERVICE PROVIDERS, SPONSORS, CONTRACTORS AND AGENTS ("MAKERWORLD PARTIES") WILL NOT HAVE ANY LIABILITY (WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), PRODUCT LIABILITY OR OTHER THEORY) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF THE CREATOR OR WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY LOSS OF REVENUE, DATA OR PROFITS ARISING UNDER OR WITH RESPECT TO THIS AGREEMENT OR THE PROGRAMS. FURTHER, THE MAKERWORLD PARTIES’ AGGREGATE LIABILITY ARISING UNDER OR WITH RESPECT TO THIS AGREEMENT OR THE PROGRAMS WILL IN NO EVENT EXCEED THE AMOUNT OF ANY POINTS THE CREATOR HAVE EARNED IN ACCORDANCE WITH THESE PROGRAM TERMS. THE CREATOR AGREE THAT ALL CLAIMS MADE HEREUNDER BY THE CREATOR AGAINST US WILL BE MADE WITHIN 120 DAYS OF THE ACT OR OMISSION THAT FORMS THE BASIS OF SUCH CLAIMS.

THE CREATOR UNDERSTAND AND AGREE THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS:

"CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN THEIR FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED THEIR SETTLEMENT WITH THE DEBTOR."

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CREATOR AGREE TO DEFEND, INDEMNIFY AND HOLD MAKERWORLD PARTIES HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, COSTS AND EXPENSES, INCLUDING ATTORNEYS’ FEES, ARISING FROM OR RELATED TO THE CREATOR'S PARTICIPATION IN THE PROGRAM.

THIS PROGRAM IS MADE AVAILABLE TO THE CREATOR, ON AN "AS IS," "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND THE MAKERWORLD PARTIES MAKE NO WARRANTIES, REPRESENTATIONS, OR GUARANTEES OF ANY KIND, WITH REGARD TO THE PROGRAM, THE OPERATION AND MAINTENANCE OF THE PROGRAM, WHETHER EXPRESS OR IMPLIED, ARISING BY LAW OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OR ANY IMPLIED WARRANTY ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE. WITHOUT LIMITING THE GENERALITY OF FOREGOING, THE MAKERWORLD PARTIES MAKE NO REPRESENTATION THAT THE OPERATION OF THE PROGRAM WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Indemnification

By participating in the Program, you release, indemnify and hold harmless the MakerWorld Parties from any and all liability for any injuries, loss or damage of any kind, including death, arising from or in connection with (i) your participation in the Program or access to or use of the MakerWorld Platform; (ii) any Models you upload to the MakerWorld Platform, including without limitation any actual or alleged violation or misappropriation of the intellectual property or other rights of any third party, (iii) receipt or use and/or misuse of any Regular Points, Exclusive Points, or Rewards under the Programs; (iv) any taxes that you may owe as a result of your participation in the Programs; or (v) any actual or alleged violation of law. The MakerWorld Parties will not be responsible for Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the cancellation of any Program or portion thereof.

11. Consequences of Breach of Agreement

In the event that you violate this Agreement, MakerWorld reserves the right to independently assess the situation and take the following measures at its discretion:

11.1 Removal from the Exclusive Model Program or the 14-Day Exclusive Launch Program

MakerWorld may remove any relevant Exclusive Program Model from any applicable Program.

11.2 Take down the Models

MakerWorld may take down any relevant Exclusive Program Model from MakerWorld.

11.3 Revoke Exclusive Points

MakerWorld may revoke up to all Exclusive Points earned by an offending Exclusive Program Model on MakerWorld.

11.4 Point Penalties

MakerWorld may impose an additional 500 Exclusive Points Penalty on the Creator's account, applicable only in cases of violations of this Agreement.

11.5 Restriction of Certain Account Functions

11.5.1 The Creator's account may be banned from Exclusive Model Program applications for 30 calendar days.

11.5.2 Repeat offenders may be suspended from Program applications permanently.

11.5.3 We may prohibit non-compliant Models from the benefits offered under the Programs, and may remove such Models from MakerWorld.

11.6 Permanent Closure of the Account

In such cases:

11.6.1 All models under the account will be removed from MakerWorld;

11.6.2 All points under the account will be revoked;

11.6.3 The account will no longer be able to log in, upload Models, or engage in any activities.

MakerWorld shall bear no responsibility for any consequences arising from the Creator's inability to use their account and related services, or the inability to access assets or other rights associated with their account due to these measures.

For actions suspected of violating laws and regulations or suspected criminal activities, MakerWorld will retain relevant records and reserves the right to report the matter to the competent authorities, cooperate with the investigation by the relevant authorities, and file a report with law enforcement agencies. MakerWorld also reserves the right not to restore any content that has been taken down.

12. Rights to Govern Exclusive Models

If a Creator discovers that their Exclusive Program Model is being used without authorization on other 3D model channels or platforms, we suggest that the Creator acts promptly to have the Exclusive Program Model removed to maintain their exclusive status on MakerWorld. The creator shall preserve evidence of their correspondence with the respective website operator, including the date, for future verification. You are solely responsible for taking any action necessary to protect and enforce your rights in your Model.

We may (but have no obligation to) notify you if we find evidence of unauthorized distribution or use of your Exclusive Program Model on third-party platforms. However, if we notify you of unauthorized use or distribution, and you do not respond (e.g. to confirm that you did not authorize the distribution of your Model on the third party service) we may take action as set forth in sections 5, 6, or 11, including for breach of the Exclusive Model Program terms.

13. Termination and Transfer

This Agreement terminates when any of the following conditions are met:

13.1 Automatic Termination. The Agreement automatically terminates upon termination of the Terms of Use of MakerWorld, including (without limitation) if the Creator closes their account or if their account is suspended or terminated pursuant to the Terms of Use of MakerWorld.

13.2 Notice of Termination. In the event of significant business adjustments or other matters that MakerWorld deems necessary, MakerWorld has the right to terminate the Exclusive Model Program or the 14-Day Exclusive Launch Program with a written notice 30 days in advance in accordance with the methods specified in section 14 of this Agreement.

13.3 Unilateral Termination Right. If the Creator breaches this Agreement, MakerWorld has the right to immediately terminate this Agreement, without limitation of MakerWorld’s other rights or remedies available under applicable law.

13.4 The occurrence or fulfillment of other termination conditions under the Agreement.

13.5 Survival. The following sections will survive any termination of this Agreement : 3.2(Intellectual Property Requirements), 3.4 (Model License), 7(How to Use Exclusive Points), 8 (Commitments and Guarantees), 9 (Limitations of Liability), 10 (Indemnification), 11 (Consequences of Breach of Agreement), 12-16. (Rights to Govern Exclusive Models, Termination and Transfer, Notification and Service, Governing Law and Venue, Miscellaneous).

13.6 MakerWorld has the right to transfer or assign all of its rights and obligations of this Agreement to MakerWorld's affiliates without the Creator's prior consent. At that time, MakerWorld will send the Creator's a transfer or assignment notice through website announcements and other means.

14. Notification and Service

14.1 To users and Creators. MakerWorld can send all notifications to Creators through web announcements, emails, System notification, or regular mail delivery. Such notifications are deemed to have been delivered to the recipient on the date of sending.

14.2 To MakerWorld, Users and Creator may contact MakerWorld through support@makerworld.com

15. Governing Law and Venue

The validation, interpretation, modification, fulfilment, and dispute settlement of this Agreement are governed by the laws of Singapore. If any dispute arises concerning the content or performance of this Agreement, the dispute shall be settled through friendly negotiation. In the event that the dispute cannot be settled through negotiation, either party could submit the dispute to Singapore International Arbitration Centre (SIAC) for arbitration which shall be conducted in accordance with the SIAC's arbitration rules in effect at the time of applying for arbitration. The arbitral tribunal shall consist of three (3) arbitrators. MakerWorld and the Creators shall be entitled to appoint one arbitrator, and the third arbitrator shall be jointly appointed by SIAC. The language of the arbitration is English and is conducted in Singapore city. All arbitrators must be proficient in English. The arbitral award is final and binding upon both MakerWorld and the Creator.

16. Miscellaneous

You are responsible for compliance with applicable international laws and regulations relating to export control, economic sanctions, or other laws or regulations applicable to you, including all United States Export Administration Laws and Regulations, the United States Treasury Department, the Office of Foreign Assets Control ("OFAC") or other similar laws ("Export Control Laws"). Any export or re-export of Models or any other material, by you, directly or indirectly, in contravention of any Export Control Laws is prohibited. You are responsible for obtaining any required export authorizations, government approvals and licenses required by any Export Control Laws. You may not download or upload Models, or enroll in any Programs where such actions will result in your or MakerWorld’s violation of Export Control Laws. By accessing or using the MakerWorld Platform, you represent and warrant that you are not a citizen or resident of, and are not customarily resident in, any country or region that is subject to an embargo by the United States government or the European Union, that you are not listed as a sanctioned party on the list of specially designated nationals and blocked persons maintained by the United States (including OFAC) or similar sanction lists maintained by the European Union and other applicable governments and that you are purchasing and will use the Products and Services in compliance with all laws governing export control.
